Terms of Service
These Terms of Service (the “Terms”) form a binding contract between you and TUQ LTD, a private limited company registered in England & Wales (company no. 14512637, 20–22 Wenlock Road, London N1 7GU, UK) — the operator of the Zerocoder service (zerocoder.com). Read them carefully. By creating an account, paying for a plan, or using the platform in any way you confirm that you have read, understood and accepted these Terms.
1. Definitions
- Platform / Service — the Zerocoder website, web application, APIs, dashboards, content and any feature we make available.
- You / User — any natural or legal person accessing the Platform.
- Account — the personal record created when you sign up.
- Credits — internal accounting units consumed by AI generations, expert RFP matches and other paid Platform features. Credits are not a currency, electronic money, voucher, security or financial instrument; they have no cash value and are non-transferable between Accounts.
- Bonus Credits — Credits granted free of charge as a promotion, referral reward, daily claim, support gesture, contest prize or similar.
- Output — text, images, code, video, audio or other content generated by AI through the Platform.
2. Acceptance & Changes
By using the Platform you accept the version of these Terms in force at the moment you access it. We may modify the Terms, our prices, plan inclusions, Credit costs and feature list at any time. Material amendments will be announced on the Platform or by email and become binding 14 days after publication; continued use after that date constitutes acceptance. If you do not agree with an amendment, you must stop using the Platform; previous prepayments are honoured to the end of the period already paid.
3. Eligibility & Accounts
- You must be at least 16 years old, or the age of digital consent in your country, whichever is higher.
- One Account per natural person. Operating multiple Accounts to circumvent limits, abuse promotions or evade a ban is prohibited.
- You are responsible for the security of your password and authentication tokens. We are not liable for losses arising from your failure to protect them.
- You must provide accurate registration data and keep it up to date.
4. Subscriptions, Credits & Payment
4.a Recurring (automatic) payments
Auto-renewal applies only where you have expressly opted in: by the checkbox at checkout, by a button labelled "auto-renew", or by activating a Trial (Section 4.b). By enabling auto-renewal or API wallet auto top-up you authorise us and our payment providers (YooKassa, Stripe) to store your payment method and charge it automatically without further confirmation: (i) subscription renewals — the then-current plan price on the end date of each paid period until you cancel; (ii) API wallet auto top-up — the amount you configured, whenever the balance falls below your threshold. We never store or process card data ourselves — all operations run through the payment provider.
- Notice. Before the first payment we show the amount, date and plan of the next charge. We remind you of an upcoming renewal at least 24 hours in advance (email and/or Telegram); for a Trial, the activation message — which states the amount and date of the charge — is that notice. Every charge is followed by a notification.
- Cancellation. You may disable auto-renewal at any time: in your account (Studio → Plan), via the link in the charge reminder, or by emailing support@zerocoder.com. Cancellation takes effect immediately: no further charges are made and the stored payment token is deactivated. Access continues until the end of the paid period; no refund is made for the unused part of it.
- Failed charges. If the bank declines or funds are insufficient we may retry once a day, up to 7 times. If every attempt fails, auto-renewal stops and paid features are suspended until you pay another way.
4.b Trial for 1 ₽ / $1
We may offer introductory access to selected plans as a Trial. The full Trial terms are shown in the interface before payment; paying the activation fee constitutes your unconditional acceptance of them.
- Activation. The activation fee is 1 ₽ (or the equivalent minimum amount in another currency). Duration — 24 hours from successful payment. Activation automatically enables auto-renewal (Section 4.a).
- Credits. The plan's Credits are split into two parts shown at activation: the first is credited immediately and usable during the Trial; the second ("frozen") part is credited only after the successful top-up to the full first-month price.
- Top-up charge. After 24 hours, unless auto-renewal has been disabled, the difference between the full monthly plan price and the activation fee is charged to the stored payment method. The full 30-day plan period starts from that charge and the frozen Credits unlock. Thereafter the full plan price is charged monthly until you cancel.
- If the charge fails (card declined, insufficient funds, auto-renewal disabled) — the frozen Credits are not granted, paid features are suspended; Credits used during the Trial are not compensated and the activation fee is not refunded.
- Cancelling during the Trial — one click in your account or via the reminder link. Access continues to the end of the 24 hours; only the activation fee is charged.
- Limits. One Trial per natural person, payment method and device; it does not stack with other promotions and does not apply to gift or corporate subscriptions. We may refuse or end a Trial early on signs of multi-accounting, payment fraud or breach of these Terms, without refunding the activation fee.
- Plans. The Platform is offered on Free and paid tiers. Paid plans are billed in advance, on a monthly or annual basis. Subscription renews automatically until cancelled.
- Pricing. Prices, taxes, exchange rates and Credit costs may change at any time. Changes take effect on the next renewal for existing subscribers.
- Credit expiry. Monthly Credits expire at the end of each billing cycle. Annual-plan Credits expire 30 days after the end of the annual term. Unused Credits do not roll over and have no residual value.
- Bonus Credits. Bonus Credits are a gift. We may grant, decline, change, suspend, cancel, claw back or expire Bonus Credits at our sole discretion, without notice and without compensation, including (without limitation) where we suspect abuse, fraud, multi-accounting, referral self-dealing, automated claiming, or breach of these Terms.
- Taxes. Listed prices are exclusive of VAT/sales taxes unless stated. You are responsible for any tax we are required to collect under the law of your residence.
- Reservation and processing fee. By submitting a generation request you instruct us to reserve the Credits shown in the interface. On success the reservation is charged finally. If the generation fails due to a technical fault of the Platform the reservation is refunded in full. If the request is rejected by our moderation, by the AI provider's filters, or cannot be processed for reasons on your side (invalid format, unsupported parameters), we may retain up to 30% of the estimated generation cost (minimum 1 Credit) as a processing fee covering moderation and provider costs; the remainder is refunded. The rate may change with notice under Section 2.
- Chargebacks. Initiating an unjustified chargeback constitutes a material breach and may result in immediate Account termination, forfeiture of any remaining Credits and recovery of fees, legal costs and damages incurred by us.
5. Refunds
Refunds are not provided except in the limited cases described below or where mandatory consumer law in your country requires otherwise:
- Digital content waiver. By starting to generate content, purchasing Credits or using any paid feature you give your express prior consent for immediate provision of digital content and acknowledge that, in accordance with Article 16(m) of EU Directive 2011/83/EU and Regulation 36 of the UK Consumer Contracts Regulations 2013, you thereby waive your statutory 14-day right of withdrawal.
- Annual prepayment cooling-off. If you have an annual prepaid plan, have not used any paid feature, and request a refund within 14 days of payment, we will refund the prepayment less a 10% administrative fee.
- Service failure. Where the Platform has been unavailable to you for more than 7 consecutive days due to our sole fault and you have notified us in writing during that period, you may request a pro-rata credit (not a cash refund) for the unavailable days.
- Refunds for Bonus Credits, expired Credits, partially-used months, single-purchase Credit top-ups and feature-specific spends (e.g. image / video generation, expert RFP matches) are not available.
- Where mandatory consumer law requires a refund, it is calculated pro rata for the unused period less our actual costs: the Credits consumed at the paid plan's price, processing fees for rejected requests and payment-provider fees. Send your request to support@zerocoder.com stating the reason; refunds are processed within 10 business days of approval. The Trial activation fee is non-refundable.
- Erroneous and duplicate charges are refunded in full on request.
- Credit compensation. For technical generation errors we may return the spent Credits to your balance; such compensation is not a cash refund and does not recalculate amounts paid.
6. Service Availability & Modifications
The Platform is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted, secure or error-free operation. We may, at any time and without prior notice:
- suspend, throttle or terminate access to all or part of the Platform for maintenance, upgrades, capacity, security, legal compliance or any other operational reason;
- change, add, remove or restrict any feature, AI model, integration or third-party provider;
- modify Credit costs per feature, including retroactively for unused balances;
- impose usage limits, rate limits, fair-use thresholds, content filters or geographic restrictions.
Periods of downtime, third-party outage (OpenAI, Anthropic, Google, payment processors, hosting providers, etc.), force majeure events, government-mandated blocks, DDoS attacks and similar events do not entitle you to compensation.
7. Acceptable Use
You agree not to use the Platform to:
- generate, distribute or store content that is unlawful in your jurisdiction or the UK, including child sexual abuse material, terrorist content, content inciting violence or hatred, doxing, defamation or trade-secret theft;
- impersonate any person or entity, including our staff;
- circumvent technical limits, rate limits, watermarking or content filters;
- scrape, mirror, resell or sublicence the Platform or its Output without our written consent;
- upload malware, conduct phishing, perform credential stuffing or use the Platform for botnet command-and-control;
- use the Platform to train, fine-tune or evaluate a competing AI system;
- infringe any third-party intellectual property, privacy or publicity right.

8. AI Output
- AI Output may be inaccurate, incomplete, biased or offensive. You are solely responsible for reviewing Output before relying on it, publishing it, or making decisions based on it.
- We make no representation that Output is novel, non-infringing or fit for any particular purpose, including commercial use, medical, legal, financial or safety-critical applications.
- Subject to the underlying model provider’s terms, we do not claim copyright in Output. You receive a worldwide, perpetual, royalty-free licence to use Output, on the condition that the prompt and Output do not violate Section 7 (Acceptable Use).
- We may use anonymised prompts and Output to monitor abuse, improve safety filters and (where you opt in) improve the Platform.
- Licence to Zerocoder. By creating Output on the Platform (including in the Telegram bot and the Telegram Mini App) you grant TUQ LTD and its affiliates a non-exclusive, worldwide, royalty-free, perpetual, irrevocable (save as set out below) and sublicensable licence to store, reproduce, publicly display, adapt (crop, resize, compress, watermark, caption), translate and distribute the Output, the related prompt, your display name and avatar, in any media for the purposes of: the Showcase and "Trends" sections, landing pages and the catalogue, social networks and messengers, email digests, advertising, product demos and tutorials, press materials, statistics and research. No remuneration is due; we credit the author where technically possible. Published sites are shown as previews and links. You may ask us to stop using a specific Output via support (hello@zerocoder.com) or the Showcase controls — we remove it from resources we control within 10 business days; materials already printed, broadcast or distributed by third parties cannot be recalled.
- You warrant that you hold all rights necessary for this licence, that the Output does not infringe third-party rights, and that any identifiable person depicted or voiced in the Output has consented to its creation and public use.
8.a Showcase — public display of Output
- The "Showcase" and "Trends" sections are public galleries of works made on the Platform, visible to anyone including non-Users. Works get there either when you publish them yourself, or when we select them under the licence in Section 8 above.
- By creating Output, and additionally by publishing it ("Publish to Showcase" or a similar action), you consent to: public display of the Output; processing and distribution of any personal data it contains (including facial images, voice, profile name); and our use of the Output for marketing, advertising and statistical purposes without remuneration, with attribution where technically possible. You may withdraw this consent for a specific work at any time via support — see Section 8.
- You warrant that the Output was created with the Platform, does not infringe third-party rights, and that any third parties depicted or voiced have consented. Prohibited content (Section 7) and material unrelated to the Platform may not be published.
- We may moderate, remove or block publications without giving reasons and restrict publishing on breach. Third-party claims arising from your publication are yours to settle, and you indemnify us under Section 13. You may delete your publication at any time in the Showcase or via support.
9. Intellectual Property
The Platform, its source code, templates, designs, trademarks (including “Zerocoder” and the Zerocoder logo), documentation and proprietary AI orchestration logic are the property of TUQ LTD or its licensors. We grant you a non-exclusive, non-transferable, revocable licence to use the Platform strictly as permitted by these Terms. All rights not expressly granted are reserved.
10. Account Suspension & Termination
- You may close your Account at any time from Settings. Paid plans continue to bill until the next renewal date; we do not pro-rate refunds for partial periods.
- We may, at our sole discretion and without prior notice, suspend, restrict or terminate your Account, void any Credits (including Bonus Credits), refuse service or remove Output if we reasonably believe that:
- you have breached or are likely to breach these Terms, the Acceptable Use Policy or applicable law;
- your use of the Platform poses a security, legal, reputational or financial risk to us, our users, our partners or the public;
- your Account is part of a multi-Account, automated, referral-self-deal, promo-abuse, payment-fraud or chargeback scheme;
- your payment method has been reported lost, stolen, charged back or otherwise compromised.
- Upon termination, unused Credits — paid or bonus — are forfeited except where mandatory consumer law in your country requires otherwise. Section 11 (Disclaimers) and Section 12 (Liability) survive termination.
11. Disclaimers
To the maximum extent permitted by applicable law, the Platform, all Outputs and all related materials are provided without warranties of any kind, whether express, implied, statutory or otherwise, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, uninterrupted operation, or absence of viruses or harmful components.
12. Limitation of Liability
- In no event shall TUQ LTD, its directors, employees, agents, partners or licensors be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, lost profits, lost revenue, lost goodwill, lost data, business interruption or substitute-procurement costs, even if advised of the possibility of such damages.
- Our total aggregate liability for any claim arising out of or relating to the Terms or your use of the Platform shall be limited to the greater of (a) the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) GBP 50.
- Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
13. Indemnity
You agree to defend, indemnify and hold harmless TUQ LTD and its officers, employees, agents and licensors from and against any claim, demand, loss, liability, damage, fine or expense (including reasonable legal fees) arising out of (i) your use of the Platform, (ii) your Output, (iii) your violation of these Terms or any law, or (iv) any third-party claim relating to your conduct or content.
14. Governing Law & Disputes
These Terms are governed by the laws of England & Wales, without regard to conflict-of-law principles. The parties submit to the exclusive jurisdiction of the courts of London, United Kingdom, save that consumers resident in the EU/UK retain the right to bring proceedings in the courts of their habitual residence where mandatory law requires.
15. Miscellaneous
- Severability. If any provision is held unenforceable, the remainder of the Terms remains in effect.
- Assignment. You may not assign these Terms; we may assign them in connection with a merger, sale of assets or restructuring.
- No waiver. Our failure to enforce any right is not a waiver.
- Entire agreement. The Terms together with the Privacy Policy and Acceptable Use Policy form the entire agreement between you and us regarding the Platform.
